1. Agreement to Terms
By accessing or using the services provided by Apex Frame Systems LLC (“Apex Frame,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. Services
Apex Frame provides front-end reads of public bid documents, creative production, digital advertising services, local business improvements, and broader AI capabilities. Services include: (a) the front-end read, a source-cited summary of the deadlines, required forms, bonds, submission risks, and disqualifiers in a public solicitation you name, provided free of charge on request; (b) ongoing work, a weekly summary of public solicitations posted in your trade and counties, with front-end reads on the jobs you are pursuing, addendum alerts, and bid results, quoted in writing before it begins; (c) bid and proposal software, currently in development and not yet offered for sale; (d) Apex Frame Studio, promotional video editing, social graphics, presentations, company materials, advertising creative, and related visual production from approved materials; (e) Local Growth, a free written Visibility Snapshot and paid website, local visibility, and digital-operation improvements; (f) Apex Frame Reach, focused advertising campaign setup and management, with advertising spend paid directly to the platform; and (g) AI Workshops and AI Workflow Automation, scoped consulting, education, and business-process work. Local Growth does not guarantee search rankings, leads, or recommendations by any search or AI tool. Advertising does not guarantee leads, revenue, conversion rate, or return on ad spend. Specific deliverables, turnaround times, fees, and any access requirements are confirmed in writing for each engagement, and no paid engagement begins without your written agreement.
3. Human-in-the-Loop & Professional Standards
AI assists; humans decide. Deliverables are produced with AI-assisted tools and reviewed by an Engineer-in-Training (EIT) before handoff, to support, not replace, the professional judgment of the client firm. Clients retain full responsibility for pricing, field decisions, approvals, signatures, and final submission. Apex Frame does not make pricing or bid decisions, and no deliverable is a stamped engineering document.
4. Client Materials, Data Handling & Intellectual Property
Client-provided materials remain the property of the client. We request the minimum information needed for each task and do not keep a persistent archive of your documents unless you engage ongoing work that requires it. Client files are processed using commercial AI services under terms that prohibit training on customer content, and are deleted after the engagement. Upon delivery and full payment, clients receive the work product for that engagement; Apex Frame retains rights to its underlying methodologies, templates, and process frameworks. For Apex Frame Studio work, the footage, photographs, and other media you provide remain your property; you grant Apex Frame a limited license to edit and deliver that material for the agreed piece. Finished pieces are delivered privately to you and are not published, posted, or shared by Apex Frame without your written permission.
5. Scope, Revisions & Outcomes
Scope, revisions, and any correction terms are confirmed in writing for each engagement before work begins. Where a front-end read carries a fee, if that read omits a bid deadline that is stated in the solicitation documents, the fee for that read is waived. Outcomes such as contract awards or selections are decided by the soliciting agency; no award or selection outcome is guaranteed.
6. Limitation of Liability
To the maximum extent permitted by law, Apex Frame Systems LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid in the three months preceding the claim.
7. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
